These Terms of Service ("Terms") govern your access to and use of the Spendline platform and services provided by Spendline, Inc. ("Spendline," "we," "our," or "us"). By accessing or using the service, you agree to be bound by these Terms.
Spendline provides an AI spend attribution and FinOps platform, including an in-path LLM API proxy, cost attribution analytics, budget enforcement tools, and financial reporting features. The service is provided as-a-service to businesses ("Customers").
You must create an account to use the service. You are responsible for maintaining the confidentiality of your API keys and credentials, and for all activity that occurs under your account. You must provide accurate information and promptly update it if it changes.

Subscription fees are as described on the pricing page at the time of your enrollment. Fees are billed monthly in advance for the base fee, and in arrears for variable usage components. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' written notice.
You retain ownership of all data you transmit through the service. You grant us a limited license to process your data solely to provide the service. We handle your data in accordance with our Privacy Policy and any Data Processing Agreement applicable to your subscription tier.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the service, and to use it only for purposes of the service.
We aim for high availability of the service but do not guarantee uninterrupted access. The service is provided "as is." We will use commercially reasonable efforts to notify you of planned downtime in advance.
To the maximum extent permitted by applicable law, Spendline's total liability for any claims arising from or related to these Terms or the service shall not exceed the fees paid by you in the three months preceding the claim. In no event shall Spendline be liable for indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify and hold harmless Spendline and its officers, directors, and employees from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the service or violation of these Terms.
Either party may terminate the service with 30 days' written notice. We may suspend or terminate your account immediately for material breach of these Terms. Upon termination, your access to the service will cease and we will make your data available for export for 30 days.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes shall be resolved in the courts of Delaware.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the platform. Continued use after the effective date constitutes acceptance.
